General Terms & Conditions

1. Introduction

These General Terms and Conditions ("Terms") govern the use of services provided by Alvez Commercial Incorporated, a wholesaler, retailer, and distributor of Medical Equipment, Supplies, and Furniture ("Company"). By accessing or using Company's services, you agree to comply with and be bound by these Terms.

2. Definitions

  • "Company": Alvez Commercial Incorporated, its affiliates, and subsidiaries.
  • "Customer": Any individual, entity, or organization purchasing or intending to purchase products from the Company.
  • "Products": Medical Equipment, Supplies, and Furniture offered by the Company.
  • "Services": Wholesale, retail, distribution, installation, training, and repair services provided by the Company.
  • "Sales Modalities": The various methods through which Company conducts sales, including Non-Bidding (Direct Sales), Retail Sales, and Bidding Sales.

3. Ordering, Prices, and Payment

  • Customers may place orders for Products through the following methods, depending on the applicable Sales Modality:

​a. Walk-ins: Customers can visit Company's retail outlets or showroom to browse and purchase Products in person.

​b. Sending Purchase Orders to "order@alvez-commercial-incorporated.odoo.com": Customers can submit purchase orders via
​email to the designated email address provided by Company.

​c. Sending Notice of Award, Notice to Proceed, Purchase Order, or Contract Agreement if Bidding: For 
​Bidding Sales, Customers are required to send official documents such as Notice of Award, Notice to 
​Proceed, Purchase Orders, or Contract Agreements as per the terms of the awarded government contract. 
​These documents serve as authorization for the procurement of Products.

  • Prices for Products are as follows:
    • Prices stated on the Company's website.
    • Prices provided by Company representatives.
    • Prices as per the terms of government contracts in the case of Bidding Sales.
    • Prices stated on the sent quotations with an expiry date. Quotations are provided to Customers with a specified validity period, after which the prices may be subject to change.


  • Prices are subject to change without notice. Any changes in prices will be communicated to the Customer at the time of order confirmation.


  • Payment terms may also be stated on quotations sent to the Customer, outlining the agreed-upon pricing and payment schedule. These terms are binding upon acceptance of the quotation by the Customer and must be adhered to accordingly.

4. Shipping and Delivery

  • Company will make reasonable efforts to deliver Products within the agreed-upon timeframe, depending on the Sales Modality and the specific terms of the transaction.
  • Delivery charges may apply and will be communicated to the Customer prior to order confirmation.
  • Risk of loss or damage to Products passes to the Customer upon delivery.

5.  Returns and Exchanges

  • Customers must inspect Products upon delivery and report any discrepancies or damages to Company within 7 calendar days.
  • Returns or exchanges are subject to Company's Return Policy, which may vary depending on the Sales Modality and the specific terms of the transaction.
  • Returned Products must be in their original condition and packaging.

6.  Installation Services

  • Installation, assembly, or initial operation of the delivery item shall be performed by only the Company, except if it is specially agreed to and only in accordance with the Company’s supplier affiliates.
  • If installation services are explicitly stated in the customer's documents, such as the terms and conditions of the Purchase Order, or naturally offered by the Company, the Company will respond accordingly to fulfill the request.
  • Requests for installation services not explicitly stated in the customer's documents or naturally offered by the Company must be submitted directly to the Biomedical Engineering Department for consideration.
  • The provision of installation services may incur additional charges, which will be communicated to the Customer prior to approval and commencement of the installation process.
  • Installation services will be provided by qualified technicians or personnel authorized by the Biomedical Engineering Department.
  • The Company will evaluate installation service requests and respond to the Customer with confirmation, additional details, or any necessary approvals.
  • Any additional terms and conditions related to installation services will be communicated to the Customer upon confirmation by the Company's Biomedical Engineering Department.
  • Installation that was done without prior consent from the Company may result in the machine or device’s warranty being voided.

Training Services

  • If deemed applicable and necessary, training on the use of furniture, operation of the equipment/devices, and related disposables will be provided at a mutually agreeable time at the request of the customer.
  • Training sessions will be conducted at the customer’s location for their convenience.
  • The training, as well as any written materials distributed by the Company, shall be provided to the customer at no additional cost.

8. Warranty


1. Non-Bidding (Direct Sales)


Coverage: Products purchased through Non-Bidding (Direct Sales) are covered by a warranty against defects in materials and workmanship under normal use for a period of [warranty period] from the date of purchase.


Process: To initiate a warranty claim, customers must contact the Company's Biomedical Engineering department. Proof of purchase may be required.


Resolution: The Company will, at its discretion, either repair or replace the defective product or parts, or issue a refund, depending on the nature of the defect and the availability of replacement parts.


2. Retail Sales


Coverage: Products purchased through Retail Sales are covered by a warranty against defects in materials and workmanship under normal use for a period of [warranty period] from the date of purchase.


Process: Customers must follow the warranty claim process outlined by the Company. Proof of purchase is required.


Resolution: The Company will, at its discretion, provide repair or replacement of the defective product or parts, or issue a refund, subject to the terms and conditions of the warranty.


3. Bidding Sales


Coverage: Products purchased through Bidding Sales are covered by a warranty against defects in materials and workmanship under normal use for a period of [warranty period] from the date of purchase, as specified in the terms of the government contract.


Process: Customers must adhere to the warranty claim procedures outlined in the government contract or customers must contact the Company's Biomedical Engineering department.. Proof of purchase and adherence to government procurement guidelines may be required.


Resolution: Warranty claims for Bidding Sales will be processed in accordance with the terms and conditions specified in the government contract. The Company will work closely with the Customer and relevant government authorities to facilitate the resolution of warranty issues.


8.1 Warranty Terms Specifics (Incorporating Sections 8.1a to 8.1l)


a. The device or machine must have the agreed quality, function, and performance and must comply with the respective applicable laws, regulations, directives, standards and customer provisions with regard to health and safety at work, environmental protection, and fire protection.


b. The Company will complete and file all necessary reports regarding the Company’s manufacture, assembly, installation or other activity relating to the equipment.


c. This Warranty covers the defects resulting from defective parts, materials or manufacturing, if such defects are revealed during the period of agreed upon warranty from the date of product delivery and/or installation.


d. If within the warranty provisions, on-site repair and replacement is required by the Company, the Supplier's obligation shall include asking permission first from the end user regarding supervising and performing the necessary removal, repair, adjustment and replacement work.


e. The device is considered defective if it fails to perform the functions as indicated in the operation manuals, technical specifications or any other similar documents supplied with the equipment, and the failure is due to internal device characteristics.


f. The Company shall not be held responsible for the loss and restoration of data. The Company only can reinstall the loss software application for the machine or device.


g. Regarding removing defects and damage, time could be extended in case a replacement part will be imported outside the Republic of Philippines or the defective or damaged device will be shipped to a manufacturer’s service center in case needed.


h. The Company reserves the right to charge the Warranty beneficiary with the costs of service, transportation, insurance and customs clearance if the defect does not fall within the scope of this Warranty or the device has not been proven defective.


i. The Warranty does not cover:

  1. Mechanical or electric damages resulting from incorrect installation, configuration, usage, or other activities inconsistent with the operation manual or contradictory to technical specifications attached to the device.
  2. Damages caused by acts of nature such as floods, fires, lightning, or other natural disasters, wars, unexpected events, inappropriate voltage, defective supply materials, or other external factors.
  3. The device/machine that has been tampered with by the warranty beneficiary or any other person in any way, including reconfiguration, repair, modifications, and adjustments.
  4. Defects resulting from the usage of improper or non-genuine supply materials.
  5. Damages due to the user's fault, lack of knowledge, and end user’s incompetence.
  6. Consumables or accessories of limited regular functionality due to their natural wear and tear.
  7. The Company reserves the right to refuse to provide any Warranty services if it would result in a breach of applicable laws.


j. The Company reserves the right to replace the defective device or its component with a free-of-defects equivalent thereof, provided that such equivalent ensures efficiency and functionality equal to the original device or component. The replaced defective device or components shall become the property of the Company.


k. The customer will be granted (1) one time free of charge on their device/machine which was beyond its warranty period, provided that the equipment has no dents and flawless. However, the service will be subject for approval by the company's CEO.


This Warranty Policy is an integral part of the General Terms and Conditions governing the use of the Company's services. Customers are advised to read and understand the terms and conditions of this Warranty Policy before making a purchase.

9.  Limitation of Liability

  • Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the Products or Services, except as required by law.
  • Company's liability shall not exceed the purchase price of the Products or Services.

10.  Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the Philippines.
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.

11.  Amendments

  • Company reserves the right to amend these Terms at any time. Amendments will be effective upon posting on the Company's website.
  • Continued use of Company's services after any amendments constitutes acceptance of the revised Terms.
